| 概要 | In South Korea, the Chaebol, groups of enterprises, have led the whole economy. After the economic crisis in 1997, reform of the business structure became a crucial issue, bringing a fundamental c...orporate restructuring. Permission for the creation of pure holding companies followed. This article is an attempt to analyze the influence of permission of holding companies upon the Chaebols, and the way in which the South Korean government tries to reform the Chaebols. In 1986, to establish a new holding company or convert a company in existence into a holding company was prohibited. In 1999, in order to help corporate restructuring, the establishment of holding companies was given approval. This enabled the Chaebols to construct a new corporate governance. In fact, however, a Chaebol cannot utilize a holding company as a corporate strategy because various limitations were imposed on the terms of establishing holding companies. There exist very rigorous limitations because the South Korean government tries not only to control the economic power concentration but also to reform Chaebol drastically by using the corporate system with a holding company. Some have criticized that the conditions for the establishment of holding companies are too severe and not realistic, so discussions between the government and business leaders are now in progress.続きを見る |
