概要 | The legal study of corporate finance has expanded beyond just the examination of legal capital rules within general courses on corporations to take in market-based methods of valuation once found only...in business schools. This casebook by Mitchell (law, George Washington U.), Cunningham (law and business, Boston College Law School), and Haas (law, New York Law School) reflects this development and is intended to serve in separate courses on corporate finance. Their treatment is thematically organized around the importance of different theories of the corporation, even if such theories typically remain implicit in legislation and jurisprudence, and the idea that the most difficult questions in corporate law revolve around the tension between principles of fiduciary duty and principles of contract, which often receive differing emphasis according to different (again, implicit) theories of the corporation.
